Charing & Cross Terms & Conditions


  • 1. Introduction
    These Terms and Conditions (hereafter referred to as "Terms") govern the relationship between Charing & Cross (hereafter referred to as "C&C," "we," "our," or "us") and the Client (hereafter referred to as "Client" or "you") for the provision of services related to the handling, processing, and/or production of free issue materials. By engaging our services, you agree to be bound by these Terms.

    2. Definitions

    • Free Issue Materials: Materials provided by the Client for use in a project, job, or service provided by C&C.
    • Client Information: Any information, data, or specifications provided by the Client to C&C.
    • Job: A specific project, task, or service provided by C&C to the Client.
    • Sign Off: Formal approval or acceptance of the materials, specifications, or information provided by C&C to the Client.

    3. Risk of Free Issue Materials
    3.1. The Client acknowledges that they are solely responsible for the selection, quality, suitability, and condition of any Free Issue Materials provided to C&C.

    3.2. C&C shall take reasonable care to handle and process the Free Issue Materials according to the Client's instructions, but C&C shall not be liable for any loss, damage, or destruction of Free Issue Materials unless directly caused by C&C's gross negligence or willful misconduct.

    3.3. C&C shall not be responsible for any defects or issues with the final product if such defects or issues arise from the quality or suitability of the Free Issue Materials provided by the Client.

    4. Client's Responsibility
    4.1. The Client is responsible for providing accurate and complete Client Information, including but not limited to specifications, quantities, and delivery schedules, to C&C.

    4.2. The Client is responsible for reviewing all materials, specifications, and information provided by C&C for accuracy and completeness. Any discrepancies, errors, or omissions must be promptly reported to C&C for correction.

    4.3. The Client must provide formal sign-off for all materials, specifications, and information before a Job commences. Any changes requested after sign-off may result in additional costs and delays, and C&C shall not be responsible for such changes unless agreed upon in writing.

    5. Limitation of Liability
    5.1. C&C shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, arising from the provision of services or the use of Free Issue Materials.

    5.2. C&C's liability for any direct damages arising from the provision of services or the use of Free Issue Materials shall be limited to the total fees paid by the Client for the specific Job in question.

    6. Force Majeure
    Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including, but not limited to, acts of nature, fire, flood, terrorism, labor disputes, or government actions.

    7. Confidentiality
    All information provided by the Client to C&C shall be treated as confidential and shall not be disclosed to third parties except as required to fulfill the Client's order or as required by law.

    8. Governing Law
    These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the United Kingdom and the European Union, as applicable.

    9. Amendments
    C&C reserves the right to amend these Terms at any time by providing notice to the Client. Any such amendments shall become effective upon Client's continued use of C&C's services.
